1 metric ton per pallet +/- 5% secured with steel strapping.

This contract is for the trial shipment of 500 metric tons, and as soon as the trial

Shipment is successful, this contract may be extended for one year 5,000 MT/month.

5.  PRICE & TERMS OF PAYMENT

$2,290 USD CIF per ton – incoterms 2020 – [Buyer’s Destination Port and Country]

  • By DLC MT 700 Transferable as guarantee + TT M103 loading port.

  • By SBLC MT760 transferable as guarantee + TT M103 destination port.

6.  CONTRACT & SALE PROCEDURES

  1. LOI, CIS, Company Profile submitted to Seller Mandate. FCO issued by Seller.

  2. Buyer and Co-Sellers agree on terms, conditions, price, payment method, delivery dates, and other matters to mutual satisfaction. If necessary, the sales contract will be amended accordingly. All amendments must be accepted in written form by both parties.

  3. Buyer & Co-Sellers sign contracts and exchange documents by e-mail in .pdf format or, if requested, hard copies by mail.

  4. A pro-forma invoice will be issued.

  5. On receipt and exchange of signed contracts, Buyer’s Bank issues a draft of an MT700 documentary transferable letter or draft of MT760 SBLC for the Co-Sellers' bank and Co-Sellers' finance team to approve. Co-Sellers' financier’s bank issues confirmation of acceptance.

  6. Within 72 hours of receipt of LC Verbiage, Co-Sellers will issue a draft of a performance bond to the value agreed in this contract with banking details of the issuing bank for the Buyer’s bank approval.

  7. It is agreed that both the LC Verbiage and the PB verbiage will be exchanged between banks and instruments confirmed as being acceptable to both banks.

  8. On receipt and exchange of signed contracts and bank agreement on the letter of credit and performance bond verbiage, the Co-Sellers will provide proof of product in the form of an Assay report by an international inspection agency, a written supply guarantee from the supplier, copy of Certificate of Origin, and suppliers' Statement of Product Availability.

  9. The Buyer’s bank will issue the operative financial instrument as per clause 5.2 at sight to the Co-Sellers' financier’s bank as the beneficiary. On confirmation of receipt and acceptance of the operative financial instrument, the Co-Sellers will issue the performance bond already agreed upon in accordance with procedures set out at clause 20 in this contract.

  10. The Co-Sellers will instruct preparation of the order for shipment and, in due course, issue a currently dated SGS report or another mutually agreed inspection agency for the quality and quantity of the consignment to be moved to the port for shipment. (Co-Seller to issue SGS or equivalent report; videos and pictures of the stocks at the warehouse AFTER receiving the operative DLC/MT700 or SBLC MT760.)

  11. The Buyer is welcome to send his own inspectors to work alongside the inspectors at his own expense at the loading port.

  12. Within 15-21 days of the date of the issue of the letter of credit, the Co-Sellers commence the shipping of the product and send the documents mentioned in the contract.

  13. A revised and updated pro-forma invoice will be issued at the time of shipment of the order. The price shall be as per the procedures outlined in this contract.

  14. The Buyer inspects the product at the destination port. After assay, inspection, and the Buyer’s satisfaction with the product, should there be any discrepancies, these will be discussed to mutual satisfaction.

  15. A final invoice will be issued.

  16. The Buyer’s financial instrument lodged with our bank/financier as the beneficiary will be used as a payment guarantee only. Final payment, after inspection and assay and full satisfaction, is to be made by your bankers on receipt of all international shipping documents and all documents listed in this contract by TT MT103 bank-to-bank payment to our account as listed below and in accordance with the banking information in this contract.
